These Terms and Conditions, along with privacy policy or other terms (“Terms”) constitute a binding
agreement by and between EVENTHORIZON PRIVATE LIMITED, ( “Mobile App Owner” or “we” or “us”
or “our”) and you (“you” or “your”) and relate to your use of our website, goods (as applicable) or
services (as applicable) (collectively, “Services”). 

By using our app and availing the Services, you agree that you have read and accepted these Terms
(including the Privacy Policy). We reserve the right to modify these Terms at any time and without
assigning any reason. It is your responsibility to periodically review these Terms to stay informed of
updates. 

The use of "NearbyShops" app or availing of our Services is subject to the following terms of use:

To access and use the Services, you agree to provide true, accurate and complete information to us
during and after registration, and you shall be responsible for all acts done through the use of your
registered account. 

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness,
performance, completeness or suitability of the information and materials offered on this website
or through the Services, for any specific purpose. You acknowledge that such information and
materials may contain inaccuracies or errors and we expressly exclude liability for any such
inaccuracies or errors to the fullest extent permitted by law. 

Your use of our Services and the "NearbyShops" app is solely at your own risk and discretion.. You are
required to independently assess and ensure that the Services meet your requirements.
The contents of the "NearbyShops" app and the Services are proprietary to Us and you will not have any authority to claim any intellectual property rights, title, or interest in its contents. 

You acknowledge that unauthorized use of the "NearbyShops" app or the Services may lead to action against you as per these Terms or applicable laws. 

You agree to pay us the charges associated with availing the Services. 

You agree not to use the "NearbyShops" app and/ or Services for any purpose that is unlawful, illegal or
forbidden by these Terms, or Indian or local laws that might apply to you. 

You agree and acknowledge that "NearbyShops" app and the Services may contain links to other third party websites. On accessing these links, you will be governed by the terms of use, privacy policy and
such other policies of such third party websites. 

You understand that upon initiating a transaction for availing the Services you are entering into a
legally binding and enforceable contract with the us for the Services. 

You shall be entitled to claim a refund of the payment made by you in case we are not able to
provide the Service. The timelines for such return and refund will be according to the specific
Service you have availed or within the time period provided in our policies (as applicable). In case
you do not raise a refund claim within the stipulated time, than this would make you ineligible for
a refund. 

Notwithstanding anything contained in these Terms, the parties shall not be liable for any failure to
perform an obligation under these Terms if performance is prevented or delayed by a force majeure
event. 

These Terms and any dispute or claim relating to it, or its enforceability, shall be governed by and
construed in accordance with the laws of India. 

All disputes arising out of or in connection with these Terms shall be subject to the exclusive
jurisdiction of the courts in Pune, Maharashtra 

All concerns or communications relating to these Terms must be communicated to us using the

The app itself, and all the trademarks, copyright, database rights, and other intellectual property rights related to it, still belong to Eventhorizon Private Limited.

Eventhorizon Private Limited is committed to ensuring that the app is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time and for any reason. We will never charge you for the app or its services without making it very clear to you exactly what you’re paying for.The Nearby Shops app stores and processes personal data that you have provided to us, to provide our Service. It’s your responsibility to keep your phone and access to the app secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone’s security features and it could mean that the Nearby Shops app won’t work properly or at all.

You should be aware that there are certain things that Eventhorizon Private Limited will not take responsibility for. Certain functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but Eventhorizon Private Limited cannot take responsibility for the app not working at full functionality if you don’t have access to Wi-Fi, and you don’t have any of your data allowance left.If you’re using the app outside of an area with Wi-Fi, you should remember that the terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the app, or other third-party charges. In using the app, you’re accepting responsibility for any such charges, including roaming data charges if you use the app outside of your home territory (i.e. region or country) without turning off data roaming. If you are not the bill payer for the device on which you’re using the app, please be aware that we assume that you have received permission from the bill payer for using the app.Along the same lines, Eventhorizon Private Limited cannot always take responsibility for the way you use the app i.e. You need to make sure that your device stays charged – if it runs out of battery and you can’t turn it on to avail the Service, Eventhorizon Private Limited cannot accept responsibility.With respect to Eventhorizon Private Limited’s responsibility for your use of the app, when you’re using the app, it’s important to bear in mind that although we endeavor to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you. Eventhorizon Private Limited accepts no liability for any loss, direct or indirect, you experience as a result of relying wholly on this functionality of the app.At some point, we may wish to update the app. The app is currently available on Android – the requirements for the system(and for any additional systems we decide to extend the availability of the app to) may change, and you’ll need to download the updates if you want to keep using the app. Eventhorizon Private Limited does not promise that it will always update the app so that it is relevant to you and/or works with the Android version that you have installed on your device. However, you promise to always accept updates to the application when offered to you, We may also wish to stop providing the app, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the app, and (if needed) delete it from your device.
